1. Acceptance of Terms

By accessing or using the BioTech Vegas website located at biotechvegas.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors, registered members, and any other individuals who access or use the Site.

2. Description of Service

BioTech Vegas is a community directory and resource platform for the biotech and life sciences ecosystem in Southern Nevada. The Site provides a member directory, company listings, member-posted event listings, a member-contributed blog, and related community features. We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice.

3. Eligibility

You must be at least 13 years of age to use the Site. By using the Site, you represent and warrant that you meet this requirement and that all information you submit is accurate, current, and truthful.

4. Member Accounts

Certain features of the Site require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information to keep it accurate.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately at [email protected] of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Member-Posted Content

BioTech Vegas allows registered members to post content to the Site, including but not limited to blog articles, event listings, company profiles, and personal profiles ("Member Content"). The following rules apply to all Member Content:

5a. Member Responsibility for Accuracy

Members who post events, blog articles, or any other content are solely responsible for the accuracy, completeness, and truthfulness of that content. BioTech Vegas does not verify, endorse, or guarantee the accuracy of any Member Content. Event details (dates, times, locations, speakers, ticket prices) and blog post information are provided by the posting member and may change without notice. Attendees and readers should independently verify all event and article details before acting on them. BioTech Vegas shall not be liable for any loss, damage, or inconvenience arising from inaccurate or outdated Member Content.

5b. Prohibited Content — Zero Tolerance Policy

BioTech Vegas is committed to maintaining a respectful, professional, and inclusive community. The following types of content are strictly prohibited and will result in immediate removal of the content and permanent suspension or termination of the member's account:

• Hateful content — content that attacks, demeans, or discriminates against any person or group based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic.
• Harmful content — content that threatens, harasses, bullies, intimidates, or incites violence against any individual or group.
• Misinformation — knowingly false or misleading information presented as fact, particularly regarding events, scientific claims, or other members' identities or affiliations.
• Spam or commercial solicitation — unsolicited promotional content, pyramid schemes, or multi-level marketing material unrelated to the biotech and life sciences community.
• Illegal content — content that violates any applicable law, including content that infringes intellectual property rights, violates privacy rights, or constitutes defamation.

BioTech Vegas reserves the right to remove any Member Content and to ban any member at our sole discretion, with or without prior notice, if we determine that the content or conduct violates these Terms or is otherwise harmful to the community. Banned members may not create new accounts.

5c. Content License

By posting Member Content, you grant BioTech Vegas a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content in connection with operating and promoting the Site. You represent and warrant that you own or have the necessary rights to post the content and that it does not infringe any third-party rights.

5d. Content Moderation

We reserve the right, but not the obligation, to review, edit, or remove any Member Content at any time. If you believe content on the Site violates these Terms, please report it to [email protected].

6. Event Listings

Events listed on the Site are posted by community members and are not organized, sponsored, or endorsed by BioTech Vegas unless explicitly stated. BioTech Vegas is not responsible for the quality, safety, legality, or outcome of any event listed on the Site. Members who post events are solely responsible for ensuring that event details are accurate and up to date, and for complying with all applicable laws and venue requirements.

7. Blog and Articles

Blog posts and articles published on the Site represent the views and opinions of the individual member authors only and do not constitute the views or opinions of BioTech Vegas. BioTech Vegas does not fact-check or editorially review member-submitted articles prior to publication. Authors are solely responsible for the accuracy of their articles and for obtaining any necessary permissions for content (including images and quotes) included in their posts.

8. Directory Listings

Member profiles and company listings in the directory are provided for informational purposes only. BioTech Vegas does not endorse, verify, or guarantee the accuracy of any information in the directory. We reserve the right to approve, reject, or remove any listing at our discretion. Profile approval is subject to review and may take time.

9. Analytics and Tracking

The Site currently uses only first-party analytics provided by the Manus platform to understand aggregate usage patterns (pages visited, session counts). We do not currently use any third-party advertising, retargeting, or social media tracking technologies. If this changes in the future, we will update this section and our Privacy Policy accordingly and, where required by law, provide appropriate notice or consent mechanisms.

10. Prohibited Conduct

In addition to the content rules in Section 5, you agree not to:

• Attempt to gain unauthorized access to any part of the Site or its systems.
• Scrape, crawl, or harvest data from the Site without our express written consent.
• Use the Site in any manner that could damage, disable, overburden, or impair its operation.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Violate any applicable local, state, national, or international law or regulation.

11. Intellectual Property

The Site and its original content (excluding Member Content), features, and functionality are and will remain the exclusive property of BioTech Vegas and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You may not reproduce, distribute, or create derivative works from our proprietary content without explicit permission.

12. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty regarding the accuracy or reliability of any Member Content.

13. Limitation of Liability

To the fullest extent permitted by applicable law, BioTech Vegas and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, any Member Content, or any events or activities listed on the Site, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms shall not exceed one hundred dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless BioTech Vegas and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site, your Member Content, your attendance at or organization of any event listed on the Site, or your violation of these Terms.

15. Third-Party Links

The Site may contain links to third-party websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Clark County, Nevada.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
